1. Scope of Work

The services provided include the production of custom animation content such as explainer videos, corporate videos, e-learning (LMS) modules, and other digital animation projects as agreed in writing between Auxano 7 Media & Production and the client.

A project brief or scope document will be agreed upon prior to commencement, outlining deliverables, timelines, responsibilities, and pricing.

2. Project Timeline and Revisions

• The estimated turnaround time will be agreed upon based on project complexity and client responsiveness.

• Clients are entitled to 2 rounds of revisions per project phase (script, storyboard, animation). Additional revisions may incur extra charges.

• Delays in client feedback or approvals may affect delivery timelines.

3. Client Responsibilities

The client agrees to:

• Provide clear and accurate information and materials required for the project (e.g., logos, brand guidelines, content, reference material).

• Review and approve stages of production in a timely manner.

• Assign a single point of contact for project communication.

4. Ownership and Usage Rights

• Upon full payment, the client receives full rights to use the final animation(s) for the agreed-upon purposes (e.g., marketing, training, internal use).

• Auxano 7 retains the right to showcase the completed work in its portfolio, showreels, and marketing materials, unless otherwise agreed in writing.

• Source files and editable project files remain the intellectual property of Auxano 7 unless explicitly purchased as part of the contract.

5. Fees and Payment Terms

• A 50% deposit is required to commence the project. The balance is due upon final delivery or as per the milestones agreed in the contract.

• All invoices are payable within 7 days of receipt unless otherwise agreed.

• Late payments may result in project delays or suspension of service delivery.

• All quotes are valid for 14 days and subject to change thereafter.

6. Revisions, Cancellations, and Refunds

• Minor changes are included within the agreed revision rounds. Major scope changes (e.g., changes to the script after approval, redesigns) may be charged separately.

• If the client cancels the project after commencement, Auxano 7 reserves the right to charge for work completed up to that point.

• Deposits are non-refundable once work has begun.

7. Confidentiality

Both parties agree to treat all non-public information shared during the project as confidential. Auxano 7 agrees not to disclose any sensitive business content, data, or strategies provided by the client.

8. Limitation of Liability

Auxano 7 shall not be liable for any indirect or consequential damages arising from the use of the animation product, nor for delays caused by circumstances beyond our control (e.g., natural disasters, client delays).

9. Marketing and Promotion

By default, the client grants Auxano 7 Media & Production the right to use project visuals, animations, and brief descriptions in its promotional and marketing material. The client may request in writing to opt out of such use.

10. Governing Law

These Terms and Conditions shall be governed and interpreted in accordance with the laws of South Africa. Any disputes shall be resolved under the jurisdiction of the South African courts.
